The confirmation statement (CS01)

What it is

Every company has to tell Companies House at least once a year that the information on the public register is correct. That is the confirmation statement, filed on form CS01.

The deadline

Each company has a date its next statement is due. Companies House publishes it, and Fyling shows it for every client company in one list, with overdue ones in red.

What "no changes" means

If nothing has changed since the last statement, you only confirm the date the statement is made up to, that the company's intended future activities are lawful, and that all its filings are up to date or are being made with this one.

What the steps ask for

You go through these in turn. Each defaults to "no change".

  • The date the statement is made up to.
  • SIC codes (what the company does).
  • The registered email address.
  • Whether any shares are traded on a market.
  • The statement of capital, if the company has shares.
  • Shareholder details, where Companies House requires them.
  • The lawful purposes statement and the final confirmation.

A confirmation statement can only change those things. Changes to officers, people with significant control or the registered office are made with their own forms first.

Who sends it

Your practice submits under its own presenter account. When Companies House answers, you will see "accepted by Companies House" or "rejected" with the reason Companies House gave.
